Je suis d\u2019accord de l\u2019attribuer \u00e0 ma s\u0153ur. En revanche, en cas de revente par ma s\u0153ur, je souhaite participer au b\u00e9n\u00e9fice qu\u2019elle r\u00e9alisera. Que puis-je faire ?<\/h2><div class=\"special-heading-border\"><div class=\"special-heading-inner-border\"><\/div><\/div><\/div><br \/>\n<section  class='av_textblock_section av-l8ud5owq-6f822406e9525e77da2d687e6267dc87 '   itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/CreativeWork\" ><div class='avia_textblock'  itemprop=\"text\" ><p>La loi pr\u00e9voit dans quelques hypoth\u00e8ses un droit l\u00e9gal au gain (par exemple en mati\u00e8re de droit foncier rural), mais ce type de droit ne sera pas trait\u00e9 ici. Le pr\u00e9sent article se concentre uniquement sur la notion de \u00ab droit conventionnel au gain \u00bb, dans l\u2019hypoth\u00e8se o\u00f9 la Loi f\u00e9d\u00e9rale sur le droit foncier rural ne s\u2019applique pas. Lors du partage d\u2019une succession et en pr\u00e9sence de plusieurs h\u00e9ritiers, il est possible de pr\u00e9voir que, en cas de revente d\u2019un immeuble attribu\u00e9 \u00e0 un seul d\u2019entre eux, les coh\u00e9ritiers de l\u2019attributaire b\u00e9n\u00e9ficieront d\u2019un droit \u00e0 la part au gain r\u00e9alis\u00e9. En pratique, ce droit consiste \u00e0 partager entre les coh\u00e9ritiers le b\u00e9n\u00e9fice retir\u00e9 d\u2019une vente post\u00e9rieure \u00e0 l\u2019attribution successorale de l\u2019immeuble.<\/p>\n<p>Si des coh\u00e9ritiers souhaitent pr\u00e9voir un droit au gain ensuite de l\u2019attribution d\u2019un immeuble, il suffit d\u2019en informer le notaire qui \u00e9tablira l\u2019acte\/la convention de partage. Le notaire introduira ainsi dans le contrat de partage une clause particuli\u00e8re, pr\u00e9voyant les modalit\u00e9s du droit au gain. Les modalit\u00e9s qui doivent \u00eatre examin\u00e9es sont notamment les suivantes :<\/p>\n<p>\u2022 La dur\u00e9e maximale pendant laquelle le droit au gain est valable;<\/p>\n<p>\u2022 Les cas dans lesquels le droit au gain s\u2019applique: est-ce seulement dans le cadre d\u2019une vente pure ou faut-il int\u00e9grer tous les actes \u00e9conomiquement \u00e9quivalents \u00e0 une vente (par exemple une donation mixte, une promesse de vente ou un \u00e9change ?). A l\u2019inverse, les parties peuvent convenir qu\u2019en cas de transfert de l\u2019immeuble concern\u00e9 au conjoint ou \u00e0 un descendant, le droit au gain ne s\u2019applique pas;<\/p>\n<p>\u2022 La mani\u00e8re dont est calcul\u00e9 le droit au gain. Le b\u00e9n\u00e9fice soumis au droit au gain correspond \u00e0 la diff\u00e9rence entre la valeur d\u2019attribution de l\u2019immeuble dans la succession et le prix de revente. L\u2019attributaire grev\u00e9 du droit au gain doit pouvoir d\u00e9duire certaines impenses de ce b\u00e9n\u00e9fice \u00ab brut \u00bb. Il s\u2019agit par exemple de l\u2019imp\u00f4t sur les gains immobiliers \u00e0 payer lors de la revente ou une \u00e9ventuelle commission de courtage;<\/p>\n<p>\u2022 La part du gain qui doit revenir au coh\u00e9ritier (est-ce la moiti\u00e9 ou un tiers ou une autre r\u00e9partition);<\/p>\n<p>\u2022 La possibilit\u00e9 de transmettre le droit au gain aux h\u00e9ritiers du b\u00e9n\u00e9ficiaire primaire (dans l\u2019hypoth\u00e8se o\u00f9 le b\u00e9n\u00e9ficiaire primaire d\u00e9c\u00e8de rapidement apr\u00e8s la constitution du droit au gain);<\/p>\n<p>\u2022 Le d\u00e9lai dans lequel le droit au gain doit \u00eatre pay\u00e9 aux b\u00e9n\u00e9ficiaires apr\u00e8s la revente (les parties seront inspir\u00e9es de pr\u00e9voir une obligation pour le notaire instrumentant la revente de payer la part au gain en imputation sur le prix de revente).<\/p>\n<p>La derni\u00e8re question qui se pose est celle de la garantie du droit au gain, puisqu\u2019il n\u2019est pas possible de l\u2019inscrire au Registre foncier.
