Gr\u00fcndung von Kapitalgesellschaften<\/strong><\/a><\/h3>\n<p>Damit eine\u00a0<a href=\"https:\/\/swisnot.ch\/de\/domaines\/die-gesellschaft-mit-beschraenkter-haftung\/\">Aktiengesellschaft\u00a0<\/a>oder eine\u00a0<a href=\"https:\/\/swisnot.ch\/de\/domaines\/das-neue-recht-der-gesellschaft-mit-beschraenkter-haftung\/\">Gesellschaft mit beschr\u00e4nkter Haftung (GmbH)<\/a>\u00a0ihre Rechtspers\u00f6nlichkeit erlangt, bedarf es einer Gr\u00fcndungsurkunde, in welcher der massgebliche Statutentext festgelegt wird. In der Regel bereitet er auch die Statuten, die Handelsregisteranmeldung und allf\u00e4llige weitere Unterlagen (bei Sacheinlagen beispielsweise Sacheinlagevertrag und Gr\u00fcnderbericht) vor. Der Notar ber\u00e4t die Gr\u00fcnder in juristischer Hinsicht und passt die Statuten der konkreten Situation an.<\/p>\n<h3><a name=\"a2\"><\/a><strong>2. Statuten\u00e4nderungen<\/strong><\/h3>\n<p>Oftmals revidiert eine Kapitalgesellschaft ihre Statuten, beispielsweise wenn die Gesellschaft den Zweck \u00e4ndert, den Sitz verlegt oder das Aktienkapital erh\u00f6ht. Auch ein neues Gesetz kann eine\u00a0Statutenrevision\u00a0zur Folge haben. Solche \u00c4nderungen werden von der Generalversammlung bzw. der Gesellschafterversammlung beschlossen und m\u00fcssen zwingend \u00f6ffentlich beurkundet werden.<\/p>\n<p>In der Regel bereitet der Notar das entsprechende Generalversammlungsprotokoll vor, verfasst die ge\u00e4nderten Statuten und die n\u00f6tige Handelsregisteranmeldung.<\/p>\n<h3><a name=\"a3\"><\/a><strong>3. Kapitalerh\u00f6hung und -herabsetzung<\/strong><\/h3>\n<p>Das Kapitalerh\u00f6hungsverfahren erm\u00f6glicht der Firma, ihr Kapital mittels Ausgabe von neuen Aktien zu erh\u00f6hen. Mit diesem Verfahren akquiriert die Firma zus\u00e4tzliches Eigenkapital, welches ihr nicht nur erlaubt, Sanierungsmassnahmen zu ergreifen, sondern auch neue Projekte zu finanzieren. Die Erh\u00f6hung stellt ebenfalls ein Mittel dar, die Anzahl der verf\u00fcgbaren Aktien zwecks Umsetzung von spezifischen Zielen zu erh\u00f6hen.<\/p>\n<p>Der Notar entwirft die n\u00f6tigen Beschlussprotokolle der Generalversammlung und des Verwaltungsrats; er verfasst ebenfalls ein beglaubigtes Exemplar der ge\u00e4nderten Statuten.<\/p>\n<h3><a name=\"a4\"><\/a><strong>4.\u00a0<a href=\"https:\/\/swisnot.ch\/de\/domaines\/die-restrukturierung-aus-sicht-des-fusionsgesetzes\/\">Restrukturierungsgesch\u00e4fte\u00a0<\/a>(<a href=\"https:\/\/swisnot.ch\/de\/domaines\/die-restrukturierung-aus-sicht-des-fusionsgesetzes\/\">Fusion<\/a>,\u00a0<a href=\"https:\/\/swisnot.ch\/de\/domaines\/die-restrukturierung-aus-sicht-des-fusionsgesetzes\/\">Spaltung<\/a>,\u00a0<a href=\"https:\/\/swisnot.ch\/de\/domaines\/die-restrukturierung-aus-sicht-des-fusionsgesetzes\/\">Umwandlung<\/a>,\u00a0<a href=\"https:\/\/swisnot.ch\/de\/domaines\/die-restrukturierung-aus-sicht-des-fusionsgesetzes\/\">Verm\u00f6gens\u00fcbertragung<\/a>)<\/strong><\/h3>\n<p>Im Verlauf ihrer Existenz muss sich eine Firma an neuen (insbesondere kommerziellen und wirtschaftlichen) Bed\u00fcrfnissen anpassen, um das Gesch\u00e4ft zu verbessern. Diese Anpassungen k\u00f6nnen sie dazu f\u00fchren, ihre Struktur oder ihre Rechtsform zu \u00e4ndern. Dies ist zum Beispiel der Fall, wenn eine Firma von einer anderen \u00fcbernommen wird (<a href=\"https:\/\/swisnot.ch\/de\/domaines\/die-restrukturierung-aus-sicht-des-fusionsgesetzes\/\">Fusion<\/a>), wenn sie aufgeteilt wird (<a href=\"https:\/\/swisnot.ch\/de\/domaines\/die-restrukturierung-aus-sicht-des-fusionsgesetzes\/\">Spaltung<\/a>), wenn sie ihre Rechtsform \u00e4ndert (<a href=\"https:\/\/swisnot.ch\/de\/domaines\/die-restrukturierung-aus-sicht-des-fusionsgesetzes\/\">Umwandlung<\/a>) oder wenn sie einen Teil ihres Verm\u00f6gens an eine andere juristische Person \u00fcbertr\u00e4gt (<a href=\"https:\/\/swisnot.ch\/de\/domaines\/die-restrukturierung-aus-sicht-des-fusionsgesetzes\/\">Verm\u00f6gens\u00fcbertragung<\/a>).<\/p>\n<p>Ihr Notar nimmt folgende Aufgaben f\u00fcr Sie wahr: Er kann als Hauptkoordinator amten, der das gesamte Restrukturierungsgesch\u00e4ft vorbereitet und organisiert; bei Bedarf zieht er andere Fachm\u00e4nner hinzu (Anw\u00e4lte, Steuerberater, Treuh\u00e4nder usw.). Er kann auch im Auftrag einer der betroffenen Parteien oder ihrer Berater t\u00e4tig werden, namentlich bei der Erarbeitung von Vertr\u00e4gen und den n\u00f6tigen \u00f6ffentlichen Urkunden sowie bei der Redaktion der erforderlichen Handelsregister- und Grundbuchanmeldungen.<\/p>\n<h3><strong>5. Unternehmensnachfolge<\/strong><\/h3>\n<p>Ihr Notar wird sich ebenfalls um den Teil- oder Gesamtkauf oder -Verkauf Ihres Unternehmens k\u00fcmmern, die betreffenden steuerlichen Schritte einleiten und die n\u00f6tigen Anmeldungen oder \u00c4nderungen im jeweiligen Handelsregister- oder Grundbuch vornehmen.<\/p>\n<h3><strong>6.
